Terms of Service
The agreement between you and Nectry when you use our website and services.
Effective October 1, 2026
1. Agreement to these terms
These Terms of Service (the "Terms") are a contract between you and Nectry, Inc., a Delaware corporation ("Nectry," "we," "us," or "our"). They govern your use of the Nectry website, the Nectry application, and any tools, connectors, and services we make available (together, the "Service"). By creating an account, connecting an account from another service, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle your information. If you do not agree, do not use the Service.
2. What the Service does
Nectry lets you describe, in plain language, tools and small applications that work with your data in services such as Gmail, Google Calendar, Google Drive, and Google Sheets. Nectry builds and hosts those tools for you and exposes them to an AI assistant of your choosing, such as a desktop or web assistant that supports the Model Context Protocol. You decide which services to connect, which tools to create, and which assistant may use them.
The Service is currently offered as a beta. Features may change, be limited, or be withdrawn while we develop the Service, and we may impose usage limits.
3. Eligibility and your account
You must be at least 18 years old to use the Service. The Service is offered to individuals acting on their own behalf. You may not use it on behalf of an organization unless Nectry has agreed to separate terms with that organization.
You sign in to Nectry with a Google account. You are responsible for keeping that account secure and for everything that happens under your Nectry account. Tell us promptly at support@nectry.com if you believe your account has been accessed without your permission.
4. Connecting Google and other services
When you connect a Google account, Google asks you to grant Nectry specific permissions. We request only the permissions needed for the tools you set up, which today may include reading, organizing, drafting, and sending Gmail messages; reading and managing Google Calendar events; reading files in Google Drive; and reading and editing Google Sheets. The Privacy Policy lists the current permissions in full.
Nectry accesses your Google data only to perform the operations you or your assistant request through tools you created. Nectry's use and transfer of information received from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements. We do not sell your Google data, use it for advertising, or allow anyone to train generalized artificial-intelligence or machine-learning models on it.
You can disconnect a service inside Nectry at any time, and you can revoke Nectry's access from your Google Account's connections page. Revoking access stops future operations; it does not by itself delete data already stored in your Nectry tools. Section 10 explains how to have that data deleted.
Your use of Google and any other connected service remains subject to that service's own terms and policies. Nectry is not responsible for those services, for changes they make, or for operations they refuse.
5. AI assistants and model providers
Two kinds of AI systems handle your information when you use the Service.
- Your assistant. The AI assistant you connect to Nectry receives the results of the tools it calls, which may include your Google data. You choose that assistant, and its provider's terms and settings govern what it does with those results. Review them before connecting.
- Nectry's creation agent. When you describe or refine a tool, Nectry sends your description, your conversation history, and any data the agent needs to see in order to build or test the tool to a third-party model provider. Nectry currently uses Anthropic and may use a different provider at any time. Every provider we use is contractually prohibited from training models on your data.
AI systems make mistakes. A tool may misread your data, take an action you did not intend, or send a message you did not review. You are responsible for reviewing the tools you create and the permissions you grant, and for the actions your assistant takes through them.
6. Your content and your tools
You own the descriptions you write, the data you bring from connected services, and the data your tools store ("Your Content"). You grant Nectry a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service for you and as described in the Privacy Policy. This license ends when Your Content is deleted from the Service, except for copies retained as described in Section 10.
Nectry owns the Service, including the platform that generates and runs your tools. Subject to these Terms, you may use the tools Nectry builds for you for as long as you have an account. You may not copy, modify, reverse engineer, or resell the Service or its generated code, except where applicable law permits it despite this restriction.
If you send us suggestions or feedback, we may use them without obligation to you.
7. Acceptable use
When using the Service, you agree not to:
- Send unsolicited bulk messages, or otherwise use a connected messaging account in a way that violates that service's rules or applicable anti-spam law;
- Access, or attempt to access, accounts, data, or tools that are not yours, or connect an account you are not authorized to use;
- Use the Service to harass, defraud, or deceive anyone, or to store or transmit content that is unlawful, infringing, or malicious;
- Probe, scan, overload, or interfere with the Service, or circumvent its security or usage limits;
- Use the Service to build a competing product, or scrape or bulk-export data from it other than your own;
- Violate the terms of Google or any other connected service.
8. Fees
The Service is free during the beta. We intend to introduce paid subscriptions in the future. Before any charge applies to your account we will tell you the price and terms, and you will have to affirmatively agree to them. Except where the law requires otherwise, all fees will be non-refundable once charged.
9. Third-party services and links
The Service depends on services operated by others, including Google, the provider of the AI assistant you choose, and the model providers described in Section 5. We do not control those services, and we are not responsible for their availability, accuracy, security, or handling of your information. Links to third-party sites are provided for convenience only.
10. Data retention and deletion
Authorization tokens for connected services are refreshed while you use the Service and are deleted when you disconnect the service, when the service revokes them, or automatically within 14 days after they expire unused. Sign-in credentials for your Nectry account are deleted after 30 days without activity. The Privacy Policy describes these periods in more detail.
Your tool definitions, the data your tools store, and your conversation history with the creation agent are kept for as long as your account exists so that your tools keep working. To delete your account and this data, email support@nectry.com from the address associated with your account. We will complete the deletion within 30 days, except for copies we must keep to comply with law or resolve disputes, which we will delete when that need ends. Copies held by your assistant's provider must be requested from that provider.
11. Suspension and termination
You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you breach these Terms, if your use creates risk or legal exposure for Nectry or others, if a connected service requires it, or if we discontinue the Service. Where practical we will give you notice and a chance to export your data. Sections 6, 10, and 12 through 17 survive termination.
12. Disclaimers
THE SERVICE IS A BETA AND IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NECTRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NECTRY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT TOOLS WILL BEHAVE AS YOU INTEND, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NECTRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NECTRY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID NECTRY IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless Nectry from claims, damages, and expenses, including reasonable attorneys' fees, arising from Your Content, your use of the Service, the actions your assistant takes through tools you created, or your breach of these Terms or of a connected service's terms.
15. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction. Before filing a claim, each of us agrees to try to resolve the dispute informally by contacting the other and allowing 30 days for a response.
16. Changes to these Terms
We may update these Terms as the Service evolves. We will post the revised Terms with a new effective date and, for material changes, notify you by email or within the Service before they take effect. Continuing to use the Service after the effective date means you accept the revised Terms. If you do not, stop using the Service and request deletion of your account.
17. General
These Terms and the Privacy Policy are the entire agreement between you and Nectry about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; Nectry may assign them in connection with a merger, acquisition, or sale of assets. Nectry is not liable for delays or failures caused by events beyond its reasonable control.
